The objective of R-Telecom Ltd. is the commercial representation, sale, delivery, and installation of telecommunication devices, as well as measurement devices and solutions for testing and measurement, radio frequency analysis, monitoring, and signal encoding.

I. SUBJECT AND GENERAL CONDITIONS

These general terms and conditions govern the contracts for the supply of products concluded between:

R-Telecom Ltd. - a company incorporated under the laws of the Republic of Bulgaria, headquartered in Sliven, with its business address at 2, Georgi Gyulmezov Street, postal code 8800, Sliven, hereinafter referred to as the "SUPPLIER," and

The users of the offered products, hereinafter referred to as the "CLIENTS."

1. Definition of Client:

a) Consumer: A natural person who acquires goods or uses services that are not intended for commercial or professional activity and who acts outside the scope of their trade or professional activity.

b) Professional: A natural or legal person who acquires goods or uses services intended for the performance of commercial or professional activities.

2. Manufacturer: For the purposes of these general terms and conditions, a manufacturer is defined as a natural or legal person who:

a) Professionally produces finished goods or substantially modifies or remakes a product with the intent of placing it on the market;

b) Represents themselves as a manufacturer by placing their name, company name, production mark, or other distinctive sign on the product, its packaging, or the accompanying technical or commercial documentation.

3. Supplier: A natural or legal person authorized to provide goods, products, or services to other businesses, distributors, or end consumers.

II. ORDERS

1. Placing Orders: Orders can be placed via the R-Telecom Ltd website or by submitting a request for a quote to info@rtelecom.net. By placing an order, the CLIENT accepts these "General Terms and Conditions" and consents to being contacted through the provided channels.

2. Order Confirmation: After the product is added to the cart and the form is completed with the required details such as address, contact email, phone number, payment method, and other relevant information, the CLIENT confirms the order by clicking the "Place Order" button. The order is considered an offer and will be confirmed via email.

3. Order Modification: Changes or modifications to orders must be made with the written consent of both parties.

4. Order Fulfillment: Orders may be fulfilled by R-Telecom Ltd or by a manufacturer represented by R-Telecom Ltd.

III. PAYMENT METHODS

5. Payments: Payments must be made in advance using credit/debit cards through the secure Stripe platform or via bank transfer to the account specified in the order confirmation issued by R-Telecom Ltd. The necessary card information includes the card number, expiration date, and CVV code (three-digit code on the back of the card). Under no circumstances will we contact you to request additional card information. Please do not provide these details through channels other than the secure payment platform!

A surcharge of 3.5% applies to payments made via PayPal.

6. Financing: R-Telecom Ltd does not offer financing or installment payment options. All purchases must be paid in full at the time of placing the order, using the payment methods listed on the website.

7. Discounts and Price Adjustments: No discounts apply for advance payments. The applicable price of goods is the one valid on the delivery date. The supplier may adjust prices if justified by cost increases (e.g., labor, materials, or currency fluctuations). Upon the CLIENT’s request, these changes will be explained in detail.

8. Invoices: R-Telecom Ltd issues a tax invoice for every transaction in compliance with VAT regulations, following the requirements of the Accounting Act. This excludes intra-community sales to companies with a valid VAT number, which is always verified in advance.

IV. DELIVERY AND RETURNS

9. Place of Delivery: Products are delivered from our warehouse in Sliven, Bulgaria, or directly from the manufacturer's warehouse.

10. Delivery Deadlines: The provided delivery dates are approximate and depend on product availability as well as the resolution of any technical issues that may arise. We cannot guarantee strict adherence to deadlines due to the involvement of third parties (transport companies) in the delivery chain. However, we continuously work to ensure that transport companies deliver correctly and on time. In cases of force majeure, delivery deadlines may be extended. The delivery timeframe specified in the quotation begins once all technical issues have been fully clarified. The only determining factor for the delivery date is the written information provided in the order confirmation or quotation. The delivery deadline is considered met if the shipment is dispatched by the supplier before the end of the deadline or its availability for delivery has been communicated.

11. Inspection Upon Delivery: All devices are dispatched by the supplier/manufacturer after preliminary checks. Upon receiving the products, the CLIENT must perform a thorough inspection and notify the supplier in writing of any visible and easily detectable defects within a maximum of 24 hours. Similarly, the CLIENT is advised to verify the conformity of the products with their order and report any discrepancies from the agreed terms. If a product is received damaged during transport, it is recommended to contact the customer service department within the first 24 hours, providing visual evidence (photos of the damaged product, its packaging, and the item's serial number). Upon justified notification, the supplier reserves the right to conduct a preliminary inspection or send the product directly to the manufacturer for repair or replacement.

12. Supplier's Liability: The supplier is not responsible for errors in the software, usage instructions, or any written documentation related to the product's use.

13. Client's Responsibility: The CLIENT is fully responsible for any failure of delivery due to omissions or inaccurate information provided when placing the order.

14. Shipping: The CLIENT will be informed about the status of the shipment and the estimated delivery time. Shipping costs will be communicated in the quotation and will depend on the destination and urgency of the order.

15. Return Policy: The CLIENT (Consumer) has the right to return the goods within 14 calendar days from the date of receipt without providing any explanation. Return costs are the responsibility of the CLIENT unless R-Telecom Ltd agrees to cover them, provided that the products are returned in their original condition, sealed, and with intact packaging. To exercise their right of return, the CLIENT must complete the form available on the website or contact R-Telecom Ltd directly (info@rtelecom.net).

16. Complaints: The CLIENT may submit a complaint to R-Telecom Ltd at any time through the contact form or by email to info@rtelecom.net. The complaint will be addressed as soon as possible. In cases of non-conformity, the CLIENT has the full right to file their complaint with the competent consumer protection organizations.

V. WARRANTY AND RIGHT OF WITHDRAWAL

17. Legal Warranty: All products sold by R-Telecom Ltd come with a legal warranty of at least 2 years from the date of delivery, covering manufacturing defects. Exceptions include batteries, accessories and consumables, whose warranty varies depending on the manufacturer and type of product, ranging between 6 and 12 months. The warranty does not cover damage resulting from improper use, incorrect handling, or inadequate maintenance. The CLIENT must notify the supplier of any apparent defects within a maximum of 7 days of receiving the product.

18. Commercial Warranty: In addition to the legal warranty, some products may include a commercial warranty from the manufacturer. The specific terms of this warranty will be included in the product's documentation.

19. Warranty Limitations: The warranties outlined in these terms replace all other explicitly or implicitly agreed warranties and may be described in greater detail in the product's operating instructions provided by the manufacturer. Any terms conflicting with these conditions are not accepted unless mutually agreed upon in writing. The conditions apply even if the supplier is aware that the CLIENT's terms conflict with or differ from these conditions. To be legally valid, any additional agreements or deviations require written consent from R-Telecom Ltd. Company policy applies to all future transactions with the CLIENT.

20. Right of Withdrawal: The CLIENT (Consumer) has the right to withdraw from the contract within 14 calendar days of receiving the product. To exercise this right, the CLIENT must send clear notification to R-Telecom Ltd before the deadline expires. This right does not apply to personalized or sealed products or those that cannot be returned after opening due to health or hygiene concerns.

21. Limited Liability: The supplier is not liable for direct, indirect, or consequential damages, including lost time, lost profits, or other losses arising from non-compliance with these general terms and conditions. The supplier and manufacturer explicitly disclaim any warranties beyond those stated in these terms, whether explicit or implied, for any of the products.

VI. INFORMATION ON DISPUTE RESOLUTION

22. Dispute Resolution: In the event of a dispute arising during the execution of this contract, R-Telecom Ltd undertakes to attempt to resolve the issue amicably through direct negotiations. If no agreement is reached, disputes will be resolved through legal proceedings before the competent court in Sliven, Republic of Bulgaria.

23. Online Dispute Resolution (ODR): In accordance with EU Regulation 524/2013, R-Telecom Ltd provides the CLIENT with a link to the European Commission’s Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.

For matters not covered by these general terms and conditions and arising from the conclusion, execution, amendment, termination, or liabilities under the supply contract, the laws of the Republic of Bulgaria shall apply.

VII. COOKIE POLICY

24. Cookies: R-Telecom Ltd uses cookies to improve website access and for statistical purposes. When accessing the website, the user’s consent is required for the use of cookies. The CLIENT can manage and disable cookies at any time through their browser settings.

VIII. DISCLAIMER FOR INACCURACIES

25. Responsibility for Errors: R-Telecom Ltd is not responsible for typographical errors, omissions, or inaccuracies in the information provided on the website. If you find such issues, please inform us at info@rtelecom.net! They will be corrected as quickly as possible. Thank you in advance!
